香港在迪士尼樂園的退場機制



香港迪士尼已成為政府的雞肋,“夫雞肋,棄之如可惜,食之無所得,以比漢中,知王欲還也。”議員們在立法會辯論之其中一點是,當初在1999年決定香港的主題公園樂園與迪士尼合作時,香港政府有否退場機制?


華特迪士尼公司年報

華特迪士尼公司旗下有五個事業部(business segments),分別為:
1.     Media Networks “有線電視與廣播等事業”;
2.     Parks and Resorts主題樂園;
3.     Studio Entertainment“電影,DVD、音樂、音樂舞台劇部分”;
4.     Consumer Products “旗下的卡通人物的商品販售、童書、零售商店”;
5.     Interactive“互動媒體平台(interactive media platform)提供線上遊戲、廣告等”。

據旅美財經分折員Catherine在“迪士尼財報分析”文中表示:“而其主題樂園收入佔全部事業的三分之一弱,但營利卻只剩下全部的五分之一。這顯示經營主題樂園花的成本比較大。不過其營利在2014年還是有20%的成長。美國國內部分的主題樂園營利成長8%、國際部分成長3%,國際數字比較低,估計與全球不景氣有關。”
2015年迪士尼年報(注一)披露資料顯示:
1.     它預計其新項目漫威漫畫鐵甲奇俠可在2016年尾完成;
2.     部份由於香港迪士尼的營業收入下跌所拖累,其主題樂園事業部的收入下跌了33百萬美元,但其專利方面的收入反而增加了3百萬美元;
3.     主題樂園事業部的國際收入下跌了11%,幸好有平均客人消費增加作補償,可是香港部份的平均客人消費減少。

由此可見,華特迪士尼公司認為香港部份賺錢不夠。




財務評估


政府的一般大型項目的財務內部收益率Internal rate of return (IRR) 10% ,雖然迪士尼公司沒有披露其酒店項目資本成本,但市場分析員對其資本成本的估算平均是 8 %

政府在今天立法會經濟發展事務委員會會議上爆響口,表示迪士尼的財務內部收益率 financial IRR 5%。根據滙豐在三跑上的意見,即在商言商,無人會接這盤生意(commercially not viable)

退場機制


港方在迪士尼樂園的退場機場在二份文件,一是有權出售普通股;二是讓第三方投資。
根據1999年協議,政府在首年後,有權出售它手中的所有股權,而迪士尼公司則必須持有不少於19億港元股份。(注二)


第三方投資


政府在1999年提出香港迪士尼樂園,第三方投資者的好處,政府在2006 12 21日舉行的經濟事務委員會會議還提出:

「為確保香港迪士尼日後無論對已投資或有意投資的第三方投資者而言,仍是一項具吸引力的商業投資項目,附屬股份在轉換為普通股時,必須循序漸進。此舉可保障其 他持有普通股的投資者的股本利益不致在短期內被大幅攤薄。再者, 考慮到香港迪士尼初期的業務難免有起有跌,雙方均同意待主題樂園營運 5年後,才開始把附屬股份轉換為普通股。其後,核准的股份轉換上限數目會每年累進調高 5%,」

後記


政府在答議員質詢時表示,由於主題公園是政府的策略性投資,政府需要當大股東,控制話事權,不準備出售持有股份。
這說法不當,因為:
1.     政府做了大股東多年,一直不見其有什麼話事權;
2.     搞好迪士尼主題公園本是華特迪士尼公司的責任,因為“唔衰得”,因而,迪士尼公司必須持有不少於19億港元股份。
3.     1999年訂立協議時,迪士尼主題公園已經是策略性項目,並非始於今天。而當時已預留空間給政府退場(出售股份和第三方投資)。因而,政府退場與其策略性項目無關。政府的策略性責任只在起動這項目及在初期以優厚待遇吸引迪士尼。

在這裡要特別留意政府在處理普通股和從屬股份的附帶條件不同。政府出售普通股只需要首年之後,而將從屬股份轉普通股則要考慮“投資者利益被幅攤薄”。這加強了退場原意論述。
筆者的意見是,從1999年協議文件披露,政府當年沒有表示準備退場,但政府擁有足夠退場機制。從今次立法會經濟發展事務委員會辯論中看到,建制派也受到群眾壓力,並不熱心保駕護航,所以,今次政府要求撥款有可能胎死腹中。

The Company owns and operates the Walt Disney World Resort in Florida; the Disneyland Resort in California; Aulani, a Disney Resort & Spa in Hawaii; the Disney Vacation Club; the Disney Cruise Line; and Adventures by Disney. The Company manages and has effective ownership interests of 81% in Disneyland Paris (see recapitalization discussion below), 47% in Hong Kong Disneyland Resort and 43% in Shanghai Disney Resort, each of which is consolidated in our financial statements.

Hong Kong Disneyland …….A new themed area based on Marvel’s Iron Man franchise is under construction and expected to open in late 2016.


Noncontrolling Interests

Net income attributable to noncontrolling interests for the year decreased $33 million to $470 million due to lower operating results at Hong Kong Disneyland Resort and higher pre-opening expenses at Shanghai Disney Resort, partially offset by an increase at Disneyland Paris. The increase at Disneyland Paris was driven by higher net income, partially offset by the impact of the Company’s change in ownership interest.
Net income attributable to noncontrolling interests is determined on income after royalties and management fees, financing costs and income taxes.

Noncontrolling Interests
Net income attributable to noncontrolling interests for the year increased $3 million to $503 million driven by improved operating results at Hong Kong Disneyland Resort, partially offset by a lower impact related to ESPN driven by after-tax gains recognized in fiscal 2013 on the sales of ESS and the ESPN UK business.

Revenues at our international operations reflected an 11% decrease from foreign currency translation, partially offset by a 4% increase from higher average guest spending. Guest spending growth was due to higher food, beverage and merchandise spending, an increase in average ticket prices and higher average hotel room rates. Volumes at our international operations were essentially flat, as higher attendance and occupied room nights at Disneyland Paris were offset by lower attendance and occupied room nights at Hong Kong Disneyland Resort.
